Rubrik's Commercial Legal Team needs to manage global commercial contracts and related revenue-based transaction matters, specifically focusing on structuring and negotiating complex strategic alliance, technology partnership, and OEM agreements to enable Rubrik's product and go-to-market strategies through impactful partnerships.
Requirements
- demonstrated experience in complex technology transactions, with a strong emphasis on product alliances, strategic partnerships, OEM, and technology licensing agreements
- Deep understanding of intellectual property law as it relates to technology licensing and product development.
- Proficiency in data security and data privacy laws and regulations (e.g., GDPR, CCPA, HIPAA) in the context of data sharing and processing in partnerships.
Responsibilities
- Structure, draft, and negotiate a wide range of sophisticated product alliance agreements, including strategic partnership agreements, OEM agreements, technology licensing agreements (inbound and outbound), joint development agreements, and other complex commercial arrangements critical to Rubrik's product roadmap.
- Provide proactive and practical legal advice to senior stakeholders, including Product, Engineering, and Growth & Monetization teams, on legal risks and opportunities associated with new product initiatives, technology integrations, and strategic partnerships.
- Identify and assess legal risks related to product alliances, including intellectual property, data privacy, security, regulatory compliance, and indemnification, and develop practical mitigation strategies.
- Collaborate closely with Product Counsel, Commercial Counsel, Privacy, Security, Finance, and other internal teams to ensure alignment and consistency across all legal aspects of product alliances.
- Advise on legal requirements for product launches involving third-party integrations or technologies, ensuring compliance with relevant laws and internal policies.
- Support the entire lifecycle of alliance agreements, from initial structuring and negotiation through amendment, termination, and advice on ongoing compliance.
- Develop and refine form agreements, playbooks, and internal training materials related to product alliances and technology partnerships.
Other
- 8+ years of demonstrated experience in complex technology transactions, with a strong emphasis on product alliances, strategic partnerships, OEM, and technology licensing agreements, gained at a reputable law firm plus at least 4 years in-house at a technology company.
- Proven track record of success independently leading and closing sophisticated, high-value alliance deals.
- Experience working closely with product, engineering, and business strategy teams on strategic initiatives.
- Exceptional analytical, problem-solving, and communication skills, with the ability to translate complex legal concepts into practical business advice.
